Merchant Terms & Conditions

Legal Entity: Gamu Technologies Inc., a corporation incorporated under the laws of the Province of British Columbia, Canada.

1. Acceptance of Terms

These Merchant Terms & Conditions (“Terms”) govern your access to and use of the Gamu Business App (the “Platform”) as a registered business or merchant offering products or services through Gamu Technologies Inc. (“Gamu”, “we”, “our”, or “us”). By registering a merchant account and using the Platform, you agree to be bound by these Terms and all applicable laws and regulations.

2. Description of the Platform

Gamu is a digital platform that connects customers, merchants, and delivery drivers in Canada. Merchants can use the Gamu Business App to list food and gift items for sale. Gamu does not own, sell, or control any goods or services; it only facilitates transactions between users and merchants.

3. Eligibility

To use the Gamu Business App, you must:

  • Be a registered business legally authorized to operate in Canada.
  • Be at least 18 years old.
  • Provide accurate and up-to-date business information.
  • Comply with all local, provincial, and federal laws.

4. Stripe Integration and Payouts

Gamu uses Stripe Connect Express to handle merchant onboarding and payouts.

  • You must complete the Stripe Express onboarding process to receive payments.
  • Stripe will process customer payments and deposit your earnings (less Gamu’s platform fees and any applicable taxes) into your linked bank account.
  • Payouts are made weekly (Mondays at 4:00 AM PT).

Your use of Stripe is subject to Stripe’s Connected Account Agreement.

5. Taxes

5.1 General Tax Responsibilities

You are solely responsible for:

  • Determining whether you are required to collect and remit GST, PST, HST, QST, or other applicable taxes.
  • Providing your tax registration numbers (GST/HST/PST) to Gamu if you are tax-registered.

5.2 Platform Tax Logic

The Gamu Platform applies tax logic based on the following conditions:

Case 1: Neither Gamu nor Merchant is Tax-Registered

No taxes are collected on transactions.

Case 2: Merchant is Tax-Registered, Gamu is Not

You must provide valid tax registration details. Gamu collects taxes on your behalf and includes tax in payouts. You are responsible for remitting the collected tax to the CRA or relevant provincial authority.

Case 3: Gamu is Tax-Registered, Merchant is Not

Once Gamu surpasses the $30,000 CAD revenue threshold (federally or provincially), Gamu becomes liable for GST and/or PST.
Gamu will collect applicable taxes from customers and remit directly to the government. Taxes will not be included in your payout.

Case 4: Both Gamu and Merchant are Tax-Registered

Gamu will collect the tax during checkout and remit directly (if Gamu is the tax agent) or include tax amounts in your payout if you are the tax remitter.

⚠️ Note: Provincial thresholds vary (e.g., $30,000 PST threshold in BC, SK). Gamu will implement province-specific logic where required and notify you of any impacts.

6. Platform Fees

Gamu charges a service fee per order. This fee is automatically deducted from your weekly payout.
Fees may vary based on service type and will be communicated clearly in your merchant dashboard.

7. Order Management

You are responsible for:

  • Fulfilling accepted orders promptly.
  • Ensuring item availability, quality, and accuracy.
  • Managing cancellations, changes, and customer issues within Gamu’s in-app chat system.

8. Cancellations & Refunds

  • Customers may cancel orders before you accept them. In this case, the full amount is refunded to the customer.
  • If you cancel an accepted order, penalties may apply (e.g., withheld fees or suspension).
  • If the customer made an error and you’ve accepted the order, resolution is at your discretion. Customers must contact you via the Gamu chat.
  • Refunds are handled by Gamu, and any Stripe processing fees are non-refundable. Discretionary refunds may result in a deduction from your earnings.

9. Delivery Responsibility

Orders must be fulfilled either:

  • By the customer via pickup, or
  • By Gamu-registered drivers only. Merchants are not allowed to assign external or self-arranged drivers outside the Gamu platform.

10. Account Termination

Gamu may suspend or terminate your account if:

  • You violate these Terms or applicable laws.
  • You receive repeated negative reviews or fail to fulfill orders properly.
  • You engage in fraud or misuse of the platform.

You may terminate your account at any time, but outstanding obligations (including taxes and disputes) will remain enforceable.

11. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada.
Any disputes will be resolved exclusively in the courts located in British Columbia.

12. Changes to These Terms

Gamu reserves the right to update these Terms at any time. We will notify you through the Gamu Business App or your registered email address. Continued use of the platform after updates means you agree to the new terms.
