Stripe Connect Payout Agreement

1. Introduction

This Stripe Connect Payout Agreement (“Agreement”) governs the processing of payouts to you (“Merchant”) through Stripe Connect, as facilitated by Gamu Technologies Inc. (“Gamu”, “we”, “us”, or “our”) when you use the Gamu Business App.

By using the Platform and completing Stripe onboarding, you agree to this Agreement and Stripe’s terms.

2. Stripe Connect Account

• Merchants must complete Stripe Connect Express onboarding to link their bank accounts for payouts.
• Your Stripe Connect account will be subject to Stripe’s Connected Account Agreement.
• You agree to provide accurate and truthful information during onboarding and keep your Stripe account information up to date.

3. Payouts

• Payouts will be initiated weekly by Gamu, generally every Monday at 4:00 AM (PT), covering completed orders less fees and refunds.
• Stripe processes payouts and deposits funds directly to the bank account linked to your Stripe Connect Express account.
• Actual time for funds to arrive depends on your bank’s processing times.

4. Fees and Deductions

• Gamu deducts platform fees from your earnings before payout.
• Stripe deducts its standard processing fees from each transaction.
• Any refunds or chargebacks related to your transactions will reduce your future payouts.

5. Tax Compliance

• You acknowledge responsibility for tax compliance related to your earnings.
• Gamu may collect tax information from you as required by law.
• Stripe may share certain information with tax authorities in accordance with legal requirements.

6. Account Holds and Verification

• Payouts may be held or delayed if your account verification is incomplete or if suspicious activity is detected.
• Gamu will communicate with you regarding any such holds and required actions.

7. Termination

• Gamu or Stripe may suspend or terminate your Stripe Connect account and payouts for violations of policies or laws.
• Upon termination, any outstanding payouts will be processed according to the platform’s policies.

8. Limitation of Liability

• Gamu and Stripe disclaim liability for delays or errors in payout processing due to third-party banks or technical issues.
• Your sole remedy for payout issues is through Gamu’s support channels and Stripe’s dispute resolution.

9. Governing Law

• This Agreement is governed by the laws of the Province of British Columbia, Canada.
• Disputes will be resolved in the courts of British Columbia.
